Trust deeds, terms and conditions
A bond or note is typically governed by a trust deed or fiscal agency agreement, together with terms and conditions that set out interest, repayment, covenants and events of default. This section of the site explains, in general terms, how such documents are structured and why consistency between the documents and the prospectus matters.
We outline common documentation concepts — covenants, negative pledges, cross-default provisions and amendment mechanics — so that readers can better understand the vocabulary used in real transactions.
02 — Agency functions
Calculation, paying and security agency
Agency roles coordinate the operational side of an instrument: calculating interest amounts, processing payments to noteholders, and holding or releasing security on behalf of secured creditors. This section describes how these roles typically interact with issuers, paying systems and clearing infrastructure such as Euroclear or Clearstream.
We also explain how an agent's duties are generally limited to what is set out in the relevant documentation, and why that distinction matters for anyone trying to understand a transaction.
03 — Credit management & monitoring
Covenant tracking and ongoing oversight
Once an instrument is issued, ongoing monitoring helps confirm that financial covenants, reporting obligations and other conditions continue to be met. This section sets out, at a general level, how covenant compliance is typically tracked, how breaches are usually identified, and what kinds of steps commonly follow when a breach occurs.
